Job Profile:
We are looking for a qualified and detail-oriented Assistant Company Secretary to support the Company Secretary during the probation period (non-KMP role), reporting to the Company Secretary and working under the oversight of the CFO, NRC, and Board. The role involves managing statutory compliance, board support, corporate governance, secretarial documentation, and pre-IPO readiness.
Key Responsibilities:
- Statutory & Regulatory Compliance
- Timely filing of returns/forms with RoC, MCA, RBI, Depositories, RTA, DP, etc.
- Maintain statutory registers and ensure compliance with the Companies Act, 2013.
- Monitor compliance with SEBI, FEMA, RBI directions (as applicable).
- Track regulatory updates and maintain compliance checklists.
- Board, Committee & Shareholder Meetings
- Assist in organizing Board, Audit, NRC, CSR and other committee meetings.
- Draft and maintain accurate Minutes & Resolutions.
- Support General Meetings and ensure post-meeting compliances.
- Secretarial Record Keeping
- Maintain safe custody of statutory registers, minutes books, share certificates, director disclosures.
- Maintain KYC/statutory data for Directors and KMPs.
- Support digitization and Secretarial & Statutory Audit processes.
- Corporate Governance Support
- Implement governance practices, monitor director independence, role matrix.
- Ensure disclosure and reporting of RPTs, remuneration, and governance parameters.
- IPO Pre-Planning & Equity Compliance
- Assist in due diligence with legal, financial, and merchant banking teams.
- Support clean-up of shareholding, historical filings, and corporate structure.
- Draft pre-IPO policies and aid in Board reconstitution and committee formation.
- Liaison with SEBI/Stock Exchanges and assist in compliance with LODR, PIT, ICDR.
- Serve as internal SPOC for IPO-related coordination and documentation.
- Liaisoning & Coordination
- Coordinate with regulatory authorities (MCA, SEBI, RBI, RoC).
- Engage with external consultants and handle statutory/secretarial audit queries.
- Miscellaneous
- Assist with ESOPs, share allotments, licensing, and other legal matters.
- Contribute to team training and updates on regulatory/legal developments.
Qualification Details:
- CS Qualified from ICSI
- Additional qualifications like LLB or corporate law certifications will be an added advantage.
Experience Details:
- 3 to 5 Years of relevant post-qualification experience in secretarial and compliance roles
- Exposure to IPO process, SEBI regulations, and corporate governance is preferred.
