Function: Legal & Secretarial

Location: Mumbai

Job Profile:

  • Legal Advisory: Provide legal advice to the Board of Directors and management on corporate governance, contracts, litigation, intellectual property, mergers & acquisitions, and other legal matters. Proactively identify legal risks and implement solutions to mitigate potential legal exposure.
  • Contracts & Agreements: Draft, review, and negotiate contracts, including vendor agreements, partnership agreements, non-disclosure agreements, joint ventures, and other commercial contracts. Ensure contracts align with business objectives and legal compliance.
  • Litigation & Dispute Resolution: Manage litigation processes, including coordination with external counsel and representing the company in legal proceedings. Lead resolution of disputes, including arbitration and mediation, with a focus on minimizing legal risks and costs.
  • Compliance & Regulatory Affairs: Ensure the company’s compliance with applicable laws and regulations, including SEBI regulations, environmental laws, labor laws, and industry-specific regulations. Implement effective systems to monitor changes in legislation and advise the company on regulatory developments.

Qualifications Details:

  • Bachelors/master’s degree in law (LLB/LLM) from a recognized institution
  • ICSI Certified

Experience Details:

  • Minimum 7+ years of experience as a Company Secretary & Legal, with specific experience in a listed company.
  • Strong knowledge of corporate laws, SEBI regulations, compliance requirements, and litigation management.
  • Proven experience in handling legal matters related to commercial contracts, M&A, and corporate governance.

Special Skills:

  • Essential:
    • In-depth knowledge of the Companies Act, SEBI guidelines, Stock Exchange regulations, Listing Obligations, FEMA, and related laws.
    • Proficiency in legal research and drafting of agreements, notices, contracts, and litigation documents.
    • Sound understanding of corporate governance principles and regulatory compliance.
    • Proficiency in legal management software and MS Office Suite.
